Please read and review the entire contents of these Terms and Conditions. By distributing a referral code or link, you confirm that you have read and understood the terms and conditions of this agreement. To participate in the Referral Program, you must be at least 18 years of age.
If any abuse, misconduct, or misuse of a referrer code takes place, Indy retains the right to revoke a referrer account without warning by disabling the code for future use.
Indy reserves the right to change any of the terms and conditions in this agreement at any time at our sole discretion. Changes may include, but are not limited to, adjustments in referral payment terms and modifications to the Indy Referral rules and regulations. If you do not agree with any changes, your only option is to terminate this agreement/withdraw from the referral program. However, if you continue to use and participate in Indy's referral program following a change or modification, it indicates your full agreement.
As a registered member of Indy, you may be eligible to receive a certain bounty for referring new subscribers to Indy Pro. For each referred customer who purchases a one (1) year subscription or a monthly recurring subscription to Indy Pro, and does not cancel their subscription within three (3) months, Indy will pay you a referral fee of $25 USD. After three (3) months, you will earn an additional $5 for every month the referred customer remains subscribed to Indy Pro, for up to nine (9) months. The maximum amount a referrer can earn per referral is $70 ($25 for the initial three (3) months of the referral's Indy Pro subscription, plus an additional $5 for each month the referral remains subscribed thereafter, up to nine (9) months).
The minimum cash-out value is $25. Participants must have a PayPal account to receive cash payouts. To request cashback, participants must contact Indy at referrals@weareindy.com. All payout requests will be reviewed for validity and, once confirmed, payouts will be processed within 7-10 business days.
Referrers must comply with all applicable laws, regulations, and guidelines in their promotional activities. This includes, but is not limited to, adhering to local, national, and international advertising laws and regulations.
Referrers are strictly prohibited from engaging in spamming, misleading advertising, or using unethical marketing practices. Any violation of these terms will result in immediate termination of the referrer account.
Referrers acknowledge and agree that they do not have any right, title, or interest in any of Indy's intellectual property, including trademarks, logos, or copyrighted material. The use of Indy's intellectual property is strictly limited to the promotion of the referral program in accordance with these terms and conditions.
Referrers must disclose their relationship with Indy when promoting the products or services, in compliance with relevant advertising disclosure guidelines and regulations. This includes clearly stating that they are a referrer of Indy and may receive compensation for referrals.
Any disputes or conflicts between Indy and referrers shall be resolved amicably through good-faith negotiations. If a resolution cannot be reached, both parties agree to submit the matter to mediation or arbitration, as determined by Indy.
Except in cases of willful misconduct or gross negligence, Indy shall not be liable for any damages or losses incurred by referrers or their referred customers. Referrers agree to use the referral program at their own risk and understand that Indy does not guarantee any specific results or outcomes from participation in the program.
Referrers agree to maintain the confidentiality of any non-public information shared by Indy, including but not limited to customer data, proprietary business information, and any other information that may be designated as confidential. Referrers shall not disclose, sell, or use such confidential information for any purpose other than as required to fulfill their obligations under the referral program.
Referrers agree to indemnify, defend, and hold Indy and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of their promotional activities, breach of these terms and conditions, or violation of any applicable laws or regulations.
These Terms and Conditions constitute the entire agreement between Indy and the referrer regarding the referral program and supersede any prior agreements or understandings, whether written or oral.
These Terms and Conditions shall be governed by and construed in accordance with the laws of California. Any legal action or proceeding arising out of or relating to these terms shall be exclusively brought in the courts of California, and the parties hereby consent to the personal jurisdiction of such courts.
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Both Indy and the referrer may terminate this agreement at any time, with or without cause.
