How to Get Started with an Influencer Contract Today

What is an influencer contract template?

You’ve been working hard to bring up all of your followers, and most importantly you’ve been keeping that engagement rate high, and now you realize that it’s time for you to offer your platform as an influencer to brands and companies. Before you go out there and email every company you wish to market for, you’re going to need to think about your professional safety. To do that you’ll need an influencer contract to send out to potential clients once your proposal goes through.

Now, why would you need an influencer contract? If you’ve been lucky up until now, and have already worked with some brands and everything ran smoothly, I understand why you would think of it as a waste of time. But sometimes you might run into a bad apple, sometimes you might come to a verbal agreement with someone, and they ask more of you than what you agreed upon. That’s why you must be protected if things don’t go as planned. Let’s say you have an agreement in place in which you’re only to create content for a specific social media platform, let’s say Instagram, but you find out that the company that you work with is using that content across other platforms as well. First, you’re losing out on money, and second, that’s a breach of trust. To make sure that this doesn’t happen, you can write up a contract to send to your client, and include a clear and defined Limitation of a purpose clause, in which you can state where and why the content you create is being published by the company.

Some things need to take into account when working with someone you don’t know, this isn’t about being suspicious, but rather safe. At least both parties know what is going on, and how everything will work out. Plus a freelancer that shows up with a contract that needs to be signed is professional, and clients are more likely to sign you on if you have all the boxes ticked when it comes to professional demeanor.

Another significant aspect of creating influencer contracts is that this way you’ll be able to define the project scope. It’s already complicated to understand the scope of a project with freelancing in general, but when it comes to influencer contract templates, you need to be precise. This way there aren’t any surprises for you when you’re on the job. You don’t want to find yourself with a job that changes without warning, because once that happens how are you sure that you’ll be able to finish it on time, and subsequently, how are you going to be paid on time.

So, let’s go on and see what you need inside are some of the most important parts of an influencer contract so you don’t miss out on important clauses.

Do you even need an influencer contract?

Absolutely! Your work is valuable, and it should be protected by a legal contract. When everything goes well, there are no problems with clients. Contracts help you create a plan that protects you when a job doesn’t go quite so smoothly.

Here are some benefits of using a contract:

An Influencer Agreement values your time and effort.

When you include the payment amount and terms in your influencer contract, you pave the way to getting paid properly for your project. When the project or milestone finishes, every party knows what to pay and when to pay it.

Your influencer contract defines the project’s scope.

Scope creep is difficult for just about every freelancer. When the size of the job changes without warning, finishing on time and getting paid properly become harder. A clearly defined project scope in a contract avoids any scope creep.

What is unique about influencer contracts?

Influencer contracts are relatively new, and need to include some clauses protecting influencers and the brands hiring them as ambassadors. The key principle to remember with your contract is clarity and realism. By realism, we mean you should be certain you are not promising what you cannot deliver.

Here are ways to write the best contract for you:

  • Clarify the expected activities. How many posts will you make? Which tags will they use? Which platforms will be targeted? These items are the activities at the heart of your role as an influencer. Be as specific as possible about your role.
  • Payment terms can be murky in influencer contracts because the results cannot be guaranteed. At the beginning, agree with your client about how much money will be paid and when.
  • You need a non-compete clause if you are working for one brand. For example, if you are advertising for Ford, you may need a clause stating you cannot advertise for Chevy for a specified period.
  • As an influencer, you are probably used to creating your own content and publishing it when you’re ready. Your new brand may want to approve the posts before you publish them. You should include a clause about approval to make sure everyone agrees.

You know your work and your industry. As you adapt this template, try to envisage what might go wrong and create clauses to help avoid negative outcomes.

How to write an influencer contract template?

To write an influencer contract template you’re going to keep in mind that you need to decide on your clauses, and how do you decided what clauses need to be implemented? You simply need to take into account that with every contract some parts just don’t change. Like the detailed description of services, in which you go over the agreement regarding the content you’ll create, and how you will make them.

Now you can sit down and write each part on your own, but that does tend to be a little tedious, and you might need to work on other projects while you’re acquiring a new contract. That’s why you could go on and use Indy’s contract templates, which have all the most important parts of the contract written out for you. Plus on Indy, you can streamline all of your financials, from contracts to personally branded invoices. This way you have all the time to work on your content creation, and don’t need to worry about it so much.

But if you decide to work on it on your own, you have to keep in mind what are the most important clauses in writing an influencer contract template. First and foremost you’ll have the Scope of Project, in which you describe the job and (if needed) the hours that are to be implemented. Other important sections are the Detailed description of services, Feedback, editing, and approval process, Deliverables and milestones, Payment terms, Tax documentation, Intellectual property, Limitation of purpose, Confidentiality, Termination, and Dispute resolution.

We’ll look at them in-depth in the next paragraphs because first, you’re going to need to find a template to use as a base for your contract.

What to include in an influencer contract?

Each influencer contract should contain sections dedicated to these topics:

Scope of the project

Start every job with a clear understanding of what the client expects you to deliver. Your scope section should also include any requirement of specific hours to be worked, if any.

Detailed description of services

Your agreement with your clients should describe your services.

Feedback, editing, and approval process

Protect your time and effort by specifying the editing and approval process in your proposal and agreement.

Deliverables and milestones

Every client has a deadline and your agreement should include it, so all parties understand when work should be delivered.

Payment terms

This is another section that goes on every type of contract, you need to make sure you’re getting paid, and to ensure that you’re going to get paid the way you want, you need to specify your payment terms in a contract.

Here is an example from one of our templates

Payment.

a. Service Cost. In consideration of the Service, the Client will pay the Influencer of $ per hour (the "Service Cost").

b. Expenses. The Influencer shall be responsible for all business expenses incurred by the Influencer in connection with or related to, the performance of the services.

c. Invoices. The Client shall pay to the Influencer amounts shown on each statement or invoice described in Section 3(a) and 3(b) within () days after receipt thereof.

d. Benefits. The Influencer shall not be entitled to any benefits, coverages, or privileges, including, without limitation, health insurance, social security, unemployment, medical or pension payments, made available to employees of the Client.

Tax documentation

You may need tax documents in certain countries. Once you know your tax liabilities, include any requirements in your contracts.

Intellectual Property & Limitation of Purpose

These two are very specific to content creators, you need to understand that if you don’t come to an agreement with your client regarding these two sections, you might incur some headaches along the way. If you want to keep hold of intellectual property and control where your content goes make sure to include this in your contract.

Confidentiality

Some clients may not allow discussion of their work anywhere. For example, can you post news of your collaboration on LinkedIn? Make confidentiality requirements clear for everyone.

Termination and Dispute Resolution

Sometimes things can go wrong when working with a client, with the termination clause you are protected by minor incidents that can be a red flag in the future while working with them, so make sure that the termination section is extremely clear. Dispute resolution, on the other hand, is for when things go wrong, like the client, or yourself, don’t respect the contract. This helps ease the process for you and the client.
